1. Acceptance of These Terms
These Terms of Use (the "Terms" or "Agreement") govern your access to and use of InSite Health, Inc.'s public website at insitehealth.net and the InSite Health Learning Lab at learninglab.insitehealth.net (collectively, the "Sites"), including the content, features, and functionality made available through the Sites.
By accessing, browsing, or using a Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Sites.
We may revise these Terms from time to time by posting an updated version. Unless otherwise stated, revisions become effective when posted. Your continued use of a Site after revised Terms become effective constitutes acceptance of the revised Terms.
Your use of the Sites is also subject to our Privacy Policy. Our Privacy Policy is separate from, and does not replace, any Notice of Privacy Practices that applies to Protected Health Information ("PHI").
2. Scope; Separate Healthcare and School-Based Services
These Terms govern the Sites. InSite Health owns and operates the Sites and certain technology platforms that support its services. These Terms do not, by themselves, govern all healthcare, clinical, patient-portal, school-based wellness, or other services or systems offered or supported by InSite Health. Separate agreements, informed consents, school or district contracts, notices, policies, or other terms may apply to those services or systems.
The Sites may contain links or pathways to separate patient-facing, clinical, school-based, or third-party systems. Use of those systems may be governed by separate terms and privacy notices.
Medical services are provided by healthcare providers practicing through the applicable professional medical organization, including Insite Medical (NJ), P.A., Insite Medical (PA), P.C., and Aloft Medical (FL), P.A. Those providers furnish professional medical services through the applicable medical organization, not through InSite Health itself. Professional healthcare services are subject to the applicable informed consent, Notice of Privacy Practices, and other clinical documentation. Nothing in these Terms changes the professional obligations of a healthcare provider or the rights applicable to PHI under HIPAA or other applicable law.
InSite Health also offers a separate Wellness Platform to schools and school districts. Access to and use of the Wellness Platform is governed by the applicable school or district agreement, not by these Terms.
3. Important Healthcare and Emergency Information
THE SITES ARE NOT DESIGNED OR INTENDED FOR MEDICAL EMERGENCIES. IF YOU ARE THINKING ABOUT SUICIDE, ARE CONSIDERING HARMING YOURSELF OR OTHERS, BELIEVE ANOTHER PERSON MAY BE IN IMMEDIATE DANGER, OR HAVE A MEDICAL EMERGENCY, CALL 911 OR THE APPLICABLE EMERGENCY SERVICE NUMBER AND SEEK IMMEDIATE IN-PERSON ASSISTANCE.
General information made available on the Sites is for informational and educational purposes and is not a substitute for professional medical advice, diagnosis, or treatment. The Sites are not intended to provide individualized recommendations regarding medications, diagnosis, or medical treatment. Do not disregard, avoid, or delay seeking care from a qualified healthcare professional because of information available on a Site.
Any healthcare services actually provided to you by a qualified provider, including individualized medical advice, diagnosis, medication management, or treatment, are governed by the applicable clinical relationship and documentation and are distinct from general informational or educational content available on the Sites.
4. Use of the Sites and Content
The Sites contain text, graphics, images, software, videos, educational materials, webinar content, trademarks, logos, and other materials (collectively, "Content"). The Content is owned by InSite Health or made available to InSite Health by third parties and is protected by applicable intellectual property laws.
Subject to these Terms, InSite Health grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Sites and Content for their intended purposes. Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, modify, distribute, sell, license, publicly display, publicly perform, create derivative works from, or otherwise exploit the Content without prior written permission from InSite Health or the applicable rights holder.
Nothing in these Terms grants you any license or right to use any InSite Health trademark, service mark, logo, trade name, or other brand feature except with our prior written permission.
5. Learning Lab Accounts
The Learning Lab is a learning and webinar platform used by authorized school staff, clinicians, and other authorized adult users. You must be at least 18 years old to hold or use a Learning Lab account. Learning Lab content is provided by InSite Health; Learning Lab users are not provided functionality to upload or publish their own content. If you are provided an account, you are responsible for maintaining the confidentiality of your username, password, and other account credentials ("Account Access").
You agree to provide accurate, current, and complete account information and to update it as appropriate. You must notify us promptly if you become aware of unauthorized use of your Account Access or another suspected security breach.
You may not use another person's account or permit another person to use your account except as expressly authorized by InSite Health. You are responsible for activity conducted through your Account Access to the extent permitted by applicable law and any applicable organizational agreement.
If you access the Learning Lab on behalf of a school, school district, healthcare organization, or other entity, your use may also be subject to an agreement between that organization and InSite Health. If an applicable written organizational agreement conflicts with these Terms with respect to authorized organizational use, that agreement will control to the extent of the conflict.
6. Prohibited Conduct
You agree not to misuse the Sites. Without limiting the foregoing, you may not:
- attempt to gain unauthorized access to any Site, account, system, server, network, or infrastructure;
- interfere with or disrupt the operation, security, or integrity of a Site or any related system;
- use any device, software, routine, bot, scraper, or other method in a manner that imposes an unreasonable burden on a Site or circumvents access controls;
- reverse engineer, decompile, disassemble, or attempt to derive source code from software comprising a Site, except to the extent such restriction is prohibited by law;
- upload, transmit, or distribute malicious code, viruses, or other harmful material;
- use a Site to send unsolicited advertising or promotional material;
- post, transmit, or submit unlawful, abusive, threatening, harassing, privacy-invasive, obscene, defamatory, discriminatory, or otherwise harmful content;
- infringe or violate the intellectual property, privacy, publicity, confidentiality, property, or other rights of another person or entity; or
- use a Site in violation of applicable local, state, federal, or international law, regulation, or professional or ethical obligation.
7. Third-Party Content and Links
The Sites may contain links to, integrations with, or content, products, or services provided by third parties ("Third-Party Content"). Third-Party Content is provided for convenience or informational purposes and does not necessarily constitute an endorsement by InSite Health.
InSite Health does not control and is not responsible for the content, availability, security, privacy practices, terms, or other practices of third-party websites or services. Your use of Third-Party Content is at your own risk and may be subject to separate terms and privacy policies.
8. Privacy and Security
Our Privacy Policy describes how InSite Health collects, uses, and discloses personal information through the Sites and certain general business interactions. The Privacy Policy is separate from any Notice of Privacy Practices applicable to PHI and from privacy requirements that may apply to school-based records or services.
You are responsible for using reasonable safeguards when transmitting information over the Internet and for protecting your Account Access. No Internet-based system can be guaranteed to be completely secure or continuously available.
9. Disclaimer of Warranties and Limitation of Liability
YOU HEREBY RELEASE US AND AGREE TO HOLD US HARMLESS FROM ANY AND ALL CAUSES OF ACTION AND CLAIMS OF ANY NATURE RESULTING FROM THE SITES, INCLUDING, WITHOUT LIMITATION, ANY CONTENT OR INFORMATION ACCESSIBLE THROUGH THE SITES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
YOU UNDERSTAND, AGREE, AND ACKNOWLEDGE THAT THE SITES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, SECURITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY. USE OF THE SITES IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
YOU UNDERSTAND, AGREE, AND ACKNOWLEDGE THAT WE SHALL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
YOU UNDERSTAND, AGREE, AND ACKNOWLEDGE THAT OUR AGGREGATE LIABILITY FOR DAMAGES ARISING WITH RESPECT TO THIS AGREEMENT AND ANY USE OF THE SITES WILL NOT EXCEED THE TOTAL AMOUNT OF MONEY PAID BY YOU THROUGH THE APPLICABLE SITE IN THE THREE (3) MONTH PERIOD PRIOR TO THE DATE OF THE CLAIM.
If applicable law does not allow a limitation or exclusion set forth above, the limitation or exclusion will be modified solely to the extent necessary to comply with applicable law. This Section will survive termination or expiration of this Agreement.
10. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless InSite Health and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against claims, losses, causes of action, demands, liabilities, costs, or expenses, including reasonable attorneys' fees and expenses, arising out of or relating to: (a) your access to or use or misuse of a Site; (b) activity conducted through your Account Access; (c) your violation of these Terms; or (d) your violation of any third-party right, including intellectual property, publicity, confidentiality, property, or privacy rights. This Section will survive termination or expiration of this Agreement.
11. Fees and Payment
Payment arrangements depend on the applicable InSite Health service or product. Outpatient clinical services may be billed separately under the applicable patient, insurance, or clinical billing arrangements. School-based services and access to the Wellness Platform are paid for pursuant to applicable school or district contracts. Learning Lab access is paid for pursuant to separate applicable contracts, which may be included in some school or organizational arrangements and not others.
The Sites themselves do not alter the financial terms of any separate clinical, school, district, Learning Lab, Wellness Platform, or other service agreement. Any applicable rates, sponsorships, payment obligations, billing terms, or other financial arrangements are governed by the applicable agreement, program terms, clinical documentation, invoice, or other applicable materials.
Questions regarding a bill or payment should be directed using the contact information provided in the applicable invoice, agreement, patient materials, or other billing documentation.
12. Modifications, Suspension, Termination, and Availability
We may modify, suspend, restrict, discontinue, or terminate a Site or any portion of a Site, or a user's access to a Site, at any time, with or without notice, subject to applicable law and any applicable written agreement.
The Sites depend on software, hardware, networks, and services operated by us and by third-party providers. Although we make commercially reasonable efforts to maintain reliability and accessibility, we do not guarantee that the Sites will be uninterrupted, continuously available, timely, secure, or error-free.
Provisions that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and miscellaneous terms, will survive termination or expiration of these Terms.
13. Notices
We may provide notices or other communications concerning these Terms or the Sites by email to an address associated with your account or communications with us, by regular mail, or by posting notice on the applicable Site.
Notices to InSite Health concerning these Terms must be sent to compliance@insitehealth.net unless another notice address is specified in an applicable written agreement.
14. Governing Law; Venue; Miscellaneous
This Agreement and our relationship with you shall be interpreted solely in accordance with the laws of the State of Delaware, excluding its choice-of-law rules.
You irrevocably agree that the exclusive venue for any action or proceeding arising out of or relating to this Agreement or our relationship with you, regardless of theory, shall be the state courts located in Camden County, New Jersey. You irrevocably consent to the personal jurisdiction of those courts and waive any objection to the exercise of jurisdiction by those courts.
These Terms, together with any other terms or agreements expressly incorporated or applicable to the relevant Site or service, constitute the agreement between you and InSite Health concerning the subject matter addressed here. Nothing in these Terms supersedes a separate written agreement that expressly governs a particular InSite Health service, school or district relationship, or organizational use of a Site.
We may transfer or assign these Terms or our rights or obligations under them. You may not assign your rights or obligations under these Terms without our prior written consent, except to the extent otherwise provided by applicable law or a separate written agreement.
Headings are for convenience only and do not affect interpretation. If any provision of these Terms is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions will remain in full force and effect. A failure to enforce any provision will not constitute a waiver of that provision or any other provision.
